Terms of Service

1. Scope and relationship to the Business Introducer Agreement

These Terms of Service (“Terms”) govern your use of the AZAL Partners portal at partners.amexaagency.com (the “Portal”), operated by AMEXA Agency SA, a company incorporated under the laws of Switzerland, registered under IDE CHE-101.799.702, with registered office at Route de Gimel 3d, Mont-sur-Rolle, Switzerland (“AMEXA,” “we,” or “us”).

These Terms govern only your use of the Portal itself — account access, referral submission, and related self-service features. They do not replace, and are subordinate to, the Business Introducer Agreement you separately sign with AMEXA, which governs the substantive commercial relationship between you and AMEXA, including commission, territory, and your obligations as an introducer. Where these Terms and your signed Agreement conflict on a substantive commercial matter, the signed Agreement controls.

2. Eligibility and accounts

Use of the Portal is limited to individuals and entities who have applied and, where required, been accepted by AMEXA as a partner under a Business Introducer Agreement. AMEXA reviews and may accept or decline any application at its discretion.

The Portal uses passwordless authentication: access is granted via a one-time link or code sent to the email address you provide. You are responsible for the security of that email account. You must notify AMEXA promptly at azal.partners@amexaagency.com if you believe your account has been accessed without authorisation.

3. Acceptable use

You agree to:

  • provide accurate, current information in any application, referral, or other submission;
  • use the Portal only for its intended purpose — applying as a partner, submitting referrals, and managing your own account settings;
  • not attempt to access any part of the Portal, or any account, that you are not authorised to access;
  • not use the Portal to submit false, misleading, or unauthorised information about any third party.

4. Referral submissions and third-party information

When you submit a referral, you provide AMEXA with personal information about a prospective client (name and contact details). By submitting this information, you represent that you have a legitimate basis to share it with AMEXA for the purpose of an introduction, and that you have informed the prospective client, as required under Clause 9.2 of your Business Introducer Agreement, that you act solely as a business introducer and do not provide advice.

You must not submit information about a person who has not agreed to be contacted by, or introduced to, AMEXA.

5. Donation election

The Portal allows you to elect to redirect a percentage of your own earned commission or cashback to AMEXA Green's reforestation initiatives. This is entirely optional, takes effect prospectively from your next payout cycle, and does not constitute tax advice. Whether a redirected amount carries any tax benefit depends on your own jurisdiction and on AMEXA Green's legal structure — consult your own tax adviser.

6. Intellectual property

The Portal, its design, and all AMEXA branding, logos, and content are the property of AMEXA Agency SA or its licensors. You may not use AMEXA's name, logo, or branding except as expressly permitted under your Business Introducer Agreement.

7. Availability and disclaimers

The Portal is provided on an “as is” and “as available” basis. AMEXA does not warrant that the Portal will be uninterrupted, error-free, or available at all times, and may suspend or modify the Portal, in whole or in part, at its discretion.

8. Limitation of liability

To the fullest extent permitted by applicable law, AMEXA's liability arising from your use of the Portal (as distinct from liability arising under your Business Introducer Agreement, which is governed by that Agreement's own terms) shall not exceed the amount, if any, actually paid by you to access the Portal — which, for the avoidance of doubt, is currently nil, as the Portal is provided free of charge to accepted partners.

9. Suspension and termination of Portal access

AMEXA may suspend or terminate your access to the Portal at its discretion, including where your Business Introducer Agreement is terminated, where you breach these Terms, or where AMEXA reasonably believes your continued access poses a security or compliance risk. Termination of Portal access does not, by itself, terminate your Business Introducer Agreement, which is governed separately by its own termination provisions.

10. Changes to these Terms

AMEXA may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Continued use of the Portal after an update constitutes acceptance of the revised Terms.

11. Governing law and jurisdiction

These Terms are governed by the substantive laws of Switzerland. The courts of the Canton of Vaud, Switzerland, have exclusive jurisdiction over any dispute arising from these Terms, consistent with the jurisdiction clause of the Business Introducer Agreement.
